Why SEIS and EIS

Relief is certain. Return is not.

For qualifying UK companies, the schemes materially change the arithmetic for an investor — and impose conditions the company must meet and continue to meet.

SEIS income tax relief

On up to £200,000 per investor per tax year.

30%

EIS income tax relief

On up to £1,000,000 per investor per tax year, or £2,000,000 for knowledge-intensive companies.

3 yrs

Minimum holding period

Relief is withdrawn if shares are disposed of earlier. These investments are illiquid.

Tax reliefs depend on your circumstances and on the investee company obtaining and maintaining its qualifying status, and may change. Capital is at risk and you may lose all of the money you invest.

What makes an opportunity investable

We do the groundwork.

We do not simply list projects. Before a raise is arranged, the work that investors will scrutinise has already been done — and documented.

We will not put a figure on a project until we understand what the project involves. That is not caution for its own sake — an opportunity priced before it is understood is the one that fails.

Six stages, in order.

Nothing is transmitted before the qualification and certification form is complete. That is a legal requirement, and we treat it as one.

    Investor qualification and certification. Access to restricted investment information is subject to completion of the applicable qualification and review process.

    Pitch

    A concise introduction to an opportunity, communicated only where the applicable financial-promotion and investor-access requirements have been satisfied.

  3. 03

    Mini Offer

    Headline information such as structure, proposed raise, minimum subscription and applicable tax treatment, where relevant.

  4. 04

    Business Fundamentals

    Information concerning the underlying business, including its model, market, management and financial position.

  5. 05

    Full Information Memorandum

    The full information memorandum together with relevant assessment findings, risk information and supporting documentation.

  6. 06

    Closing

    Subscription documentation and completion handled with the relevant investee company and professional advisers as applicable.

Every opportunity passes through a twelve-stage assessment before it is shown to anyone: company verification, management review, corporate documentation, financial review, business plan, feasibility, market, legal and compliance, risk, documentation and a recorded promotion decision.

The outcome of each stage is recorded, and any stage can stop the process. Where we could not verify something, we say so on the opportunity rather than leaving a silence.
